End User License Agreement

Read this agreement carefully before installing or using the software. By installing the software you agree to follow the terms and conditions of this license agreement. If you do not agree to these terms, click “Cancel,” and the software will not be installed.

1. License Grant

In this agreement, “You” refers to the individual or organization that is licensed to use the software. “We,” “Us,” or “Our” refers to Berkeley Madonna, Inc.

We grant you a non-exclusive, non-transferable license to use one copy of the software under the following conditions:

(i) You may install and use a registered (fully functional) version of the Berkeley Madonna software on one computer at a time.

(ii) If you purchased an Academic or a Student license and the Software is installed on a computer that is used more than 80% of the time by a single individual, that person may also install and use the Software on a portable or home computer.

(iii) You may install and use the trial version of the software, which may be limited in time or functionality, on multiple computers.

This license does not include printed documentation, technical support, phone assistance, updates, or future software enhancements unless otherwise provided by Berkeley Madonna, Inc.

2. Ownership

Berkeley Madonna, Inc. retains all ownership rights, title, and interest in the software and its related documentation. The software is licensed to you, not sold.

3. Backup Copies

You may create copies of the software only for backup or archival purposes. The original software and any backup copies must remain in your possession, and your use of the software must comply with the terms described in this agreement.

4. Restrictions

The software and documentation are protected by copyright laws and international treaties.

You may not:
	Copy the documentation.
	Copy the software except for authorized backup copies.
	Modify, adapt, or merge the software with another program.
	Reverse engineer, decompile, or disassemble the software.
	Attempt to discover the source code or internal structure of the software.
	Place the software on a server or network where it can be accessed through a public network such as the Internet.
	Share, distribute, or allow others to use this license agreement or the licensed software.
	Transfer, sublicense, rent, lease, lend, or otherwise provide the license or software to another person or organization without authorization.

5. Transfer of License

If you have written authorization from Berkeley Madonna, Inc., you may transfer your rights to another person or organization only if:
	You transfer this license agreement, the software, documentation, and all copies, including updates and previous versions.
	You do not keep any copies of the software in any format, including those stored on computers or storage devices.
	You do not retain or reuse registration numbers or other information provided to you to register or unlock features of the Software

6. Disclaimer of Warranty

The software is provided "as is," without any warranties, either expressed or implied. This includes, but is not limited to, guarantees that it is defect-free, virus-free, will function without interruption, is suitable for a specific purpose, or non-infringing. You bear all risks regarding the quality and performance of the product. If the product is defective in any way, you are responsible for all costs related to service and repair—not Berkeley Madonna Inc.

7. Limitation of Liability

If liability arises under this agreement, your only remedy will be a refund of the amount you paid for the software.

Berkeley Madonna, Inc. will not be responsible for indirect, incidental, or consequential damages, including but not limited to:
	Lost profits
	Lost savings
	Data loss
	Other damages resulting from the use or inability to use the software

Some jurisdictions may not allow certain liability limitations, so these restrictions may not apply in all cases.

8. High-Risk Activities

The software is not designed for use in hazardous environments where failure could lead to death, personal injury, or significant environmental damage. Examples include life-support systems, nuclear facilities, or critical industrial control systems.

Berkeley Madonna, Inc. and its suppliers are not liable for any damages or claims arising from the use of the software in such high-risk situations.

9. Term and Termination

This agreement becomes effective when you first use the software and will remain in effect until terminated.

You may terminate this agreement at any time by destroying all copies of the software and documentation in your possession. The license will automatically terminate if you violate any part of this agreement.

Upon termination, you must immediately destroy all copies of the software and related documentation.

10. Confidentiality

The software contains confidential information, trade secrets, and proprietary technology belonging to Berkeley Madonna, Inc.

You agree not to disclose, distribute, or share any internal aspects of the software—including its algorithms, protocols, interfaces, or design—except as permitted by this agreement. Unauthorized disclosure may violate the company’s trade secret rights.

General Provisions

1. This written license agreement is the exclusive agreement between you and us concerning the Software and Documentation and supersedes any prior purchase order, communication, advertising or representation concerning the Software.

2. This license agreement may be modified only by written agreement by you and us.

3. In the event of litigation between you and us concerning the Software or Documentation, the prevailing party in the litigation will be entitled to recover attorney fees and expenses from the other party.

4. This license agreement is governed by the laws of the State of California.

5. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.
